EAST Immersive Arts and Lifestyle Bazaar Vendor Liability Waiver, Release, Indemnity & Consent

Agreement to Participate. The undersigned vendor requests to participate in the EAST Immersive Arts and Lifestyle Bazaar (the "Event"). Vendor acknowledges that participation is voluntary and that submission or signing of this form does not guarantee acceptance, placement, sales, traffic, revenue, publicity, or business results.
Permits, Licenses, Insurance, and Compliance. Vendor is solely responsible for obtaining and maintaining all permits, licenses, approvals, registrations, insurance, tax documents, seller permits, food or health permits, and other documentation required by California law, Los Angeles County, the City of Los Angeles or other local authority, the venue, and the Event Organizer. Vendor agrees to comply with all applicable laws, venue rules, fire and safety rules, public-health requirements, event policies, operational guidelines, payment deadlines, and staff instructions.
Assumption of Risk. Vendor understands that participation in a public marketplace, bazaar, exhibition, festival, or cultural event may involve risks, including property loss or damage, theft, injury, illness, weather-related incidents, customer disputes, product claims, service disputes, equipment failure, crowd conditions, and interruption of business. Vendor knowingly and voluntarily assumes the risks associated with Vendor's participation, booth operations, products, services, employees, contractors, representatives, displays, fixtures, and equipment.
Release of Liability. To the fullest extent permitted by California law, Vendor releases EAST Immersive Arts and Lifestyle Bazaar, its owners, organizers, sponsors, partners, affiliates, agents, employees, contractors, representatives, volunteers, venue owners, and venue operators from claims, demands, losses, liabilities, damages, costs, and expenses arising out of or related to Vendor's participation in the Event, Vendor's booth operations, Vendor's products or services, or Vendor's acts or omissions. Nothing in this form is intended to release or limit liability where prohibited by law, including responsibility for fraud, willful injury, violation of law, gross negligence, or non-waivable statutory duties.
Indemnification and Defense. Vendor agrees to indemnify, defend, and hold harmless the Released Parties from and against third-party claims, demands, damages, losses, liabilities, fines, penalties, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to Vendor's products, services, sales, samples, advertising, labels, claims, displays, setup, operation, breakdown, staff, contractors, representatives, invitees, equipment, compliance, intellectual property, privacy, publicity, or breach of this form, the vendor application, or Event policies.
Product and Service Responsibility. Vendor is solely responsible for the safety, legality, quality, labeling, marketing, pricing, delivery, and performance of all products and services offered at the Event. The Event Organizer is not responsible for product defects, allergic reactions, food safety issues, service disputes, customer complaints, refunds, taxes, chargebacks, intellectual property claims, or regulatory issues related to Vendor's offerings.
Booth Setup, Property, and Operations. Vendor is responsible for setup, staffing, supervision, security, cleanliness, fire-safe display, load-in, load-out, and removal of all Vendor property during designated Event hours. Vendor may not create unsafe conditions, block aisles, damage venue property, sell prohibited items, or operate outside the assigned area without written permission from the Event Organizer.
Media and Promotional Consent. Vendor grants the Event Organizer permission to photograph, film, livestream, record, and otherwise capture Vendor's booth, products, displays, representatives, business name, logo, and brand materials during the Event. Vendor authorizes the Event Organizer to use such materials for marketing, advertising, social media, press, website, archival, sponsorship, and future event promotion without additional compensation, unless prohibited by law or a separate written agreement.
Removal or Refusal of Participation. The Event Organizer may refuse participation, change booth placement, require corrective action, or remove Vendor from the Event if Vendor violates Event policies, creates a safety concern, fails to provide required documentation, misrepresents products or services, fails to pay required fees, or engages in conduct deemed inappropriate by the Event Organizer.
California Governing Law; Los Angeles County Venue. This form and Vendor's participation in the Event will be governed by the laws of the State of California. To the extent permitted by law, Vendor consents to venue and personal jurisdiction in the state or federal courts located in Los Angeles County, California.
Severability. If any provision of this form is found invalid, unlawful, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect to the fullest extent permitted by law.

I understand that this form is intended to be governed by California law and that disputes may be handled in Los Angeles County, California, to the extent permitted by law.
I understand that California law may limit or prohibit certain releases or limitations of liability, including for fraud, willful injury, violation of law, gross negligence, or non-waivable statutory duties.
